End User License Agreement.

This Agreement governs your use of kazpa’s proprietary trading software and tools, including but not limited to VistaONE, VistaX, VistaSUITE, and any related dashboards, scripts, or interfaces.

01Introduction

This End User License Agreement ("Agreement") governs your use of kazpa’s proprietary trading software and tools, including but not limited to VistaONE, VistaX, VistaSUITE, and any related dashboards, scripts, or interfaces (collectively, the "Software").

By activating or using the Software, you ("User") agree to be bound by this Agreement. If you do not agree, you may not install, access, or use the Software. You accept this Agreement by affirmatively indicating your agreement at activation (for example, by checking an "I agree" box), and kazpa may retain a time-stamped record of that acceptance.

02License grant

kazpa grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for personal use in your own trading account(s), subject to the terms of this Agreement. Unless your order states otherwise, the license permits use on one (1) trading account and one (1) device or VPS instance per license for the term specified at purchase, and terminates automatically on expiry or termination. This Agreement supplements and is incorporated into kazpa’s Terms & Conditions; if there is a conflict regarding the Software, this Agreement controls.

You acknowledge that you are obtaining a license to use the Software — not ownership of it. All rights, title, and interest remain the property of kazpa.

03License restrictions

• You may not copy, distribute, sell, or sublicense the Software.
• You may not modify, reverse-engineer, decompile, or attempt to derive the source code.
• You may not share your license key, account, or access credentials with others.
• You may not use the Software for commercial purposes or on behalf of others without written authorization from kazpa.
• You may not bypass or alter any software protection or verification mechanisms.
• You may not use the Software in or from any jurisdiction where its use is prohibited or restricted, or in violation of any sanctions or export-control law.
• You may not use the Software to trade for, provide trading advice or signals to, or manage the account of any third party; the Software is licensed for your own account only.

04Ownership & intellectual property

All intellectual property rights in and to the Software, including algorithms, dashboards, user interfaces, and documentation, are owned exclusively by kazpa. The Software is protected by copyright, trademark, and trade secret laws.

05Software use & risk disclaimer

The Software is a tool intended for educational and analytical use only. It does not guarantee profits or specific trading outcomes. All trading carries risk, and you acknowledge that past performance does not indicate future results. You acknowledge that automated and leveraged trading can result in rapid and substantial losses, including losses exceeding your deposit where leverage is used. You select, verify, and fund your own broker and VPS and are responsible for your choice of broker and use of leverage.

kazpa does not manage client funds or execute trades. Users retain full control over their trading accounts and assume all responsibility for the results of their use of the Software. At setup, and using credentials you provide, kazpa installs and configures the Software on the server you control and may provide support access; you thereafter control operation of the Software (turning it on and off) and retain full control of your funds and account. kazpa does not operate your account or trade on your behalf.

06License activation & verification

Each Software license is issued per user and tied to the verified trading account(s) provided during onboarding. kazpa reserves the right to verify license status and deactivate access for any violation of this Agreement or unauthorized use.

07Updates & support

kazpa may periodically update or modify the Software to improve functionality, security, or compatibility. Such updates may occur automatically or require user action. Support is provided only to users with active licenses in good standing. Automatic updates may change Software functionality; you remain responsible for monitoring your account after any update.

08Termination

kazpa reserves the right to suspend or terminate your license at any time, with or without notice, for violations of this Agreement, fraudulent activity, or misuse of the Software. Upon termination, you must immediately cease all use of the Software and delete any copies. Sections 4, 5, 10, 11 and 13 and any accrued payment obligations survive termination.

09Enforcement & remedies

If kazpa reasonably suspects misuse of the Software or its intellectual property (including reverse engineering, decompilation, extraction of keys or code, or redistribution), it may suspend or terminate the license immediately and without notice. You acknowledge that such misuse would cause irreparable harm for which monetary damages are inadequate, and that kazpa may seek injunctive relief (without bond, to the extent permitted by law) in addition to damages, including any profits attributable to the misuse and its costs and reasonable attorneys’ fees. Termination for breach does not entitle you to any refund.

10No investment or financial advice

The Software does not constitute investment advice, financial advice, or trading recommendations. All trade decisions are made solely by the user. kazpa and its affiliates are not registered financial advisors or brokers and do not manage or handle client funds.

11Limitation of liability

kazpa is not liable for any direct, indirect, incidental, consequential, or special damages arising from your use or inability to use the Software, including but not limited to financial losses, system failures, or third-party service issues. To the maximum extent permitted by law, kazpa’s total aggregate liability arising out of or relating to the Software or this Agreement shall not exceed the total amount you paid to kazpa for the license giving rise to the claim. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or willful misconduct. Because some jurisdictions do not allow certain exclusions or limitations, some of the above may not apply to you.

Use of the Software is entirely at your own risk. You agree to hold kazpa harmless from any claims, losses, or damages related to your use of the Software.

12Data & privacy

Use of the Software is also subject to our Privacy Policy. By using the Software, you consent to the collection and limited use of technical or performance data as outlined in that policy. Where you provide access credentials (including VPS or broker/MetaTrader credentials) so kazpa can install and configure the Software, kazpa handles them as described in the Privacy Policy.

13Governing law

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively through binding arbitration in Miami, Florida. This does not deprive you of the protection of any non-waivable consumer-protection laws of your place of residence. The arbitrator shall decide questions of arbitrability, except that a court may decide whether any class-action waiver is enforceable; either party may bring an individual claim in small-claims court; and you may opt out of arbitration by written notice to kazpa within 30 days of first accepting this Agreement. You and kazpa agree to bring claims only in an individual capacity and waive any right to a jury trial or class action.

14General

Severability: if any provision is unenforceable, the remainder remains in effect. Assignment: you may not assign this Agreement without kazpa’s consent; kazpa may assign it, including in a merger or sale of assets. No waiver: a failure to enforce any right is not a waiver. Force majeure: kazpa is not liable for delays or failures caused by events beyond its reasonable control, including outages, platform updates, hardware or VPS failure, connectivity problems, or cyber-attacks. Entire agreement: this Agreement, with the Terms & Conditions and Privacy Policy, is the entire agreement regarding the Software.
